By-Laws: Los Angeles Nude Guys

Article 1 - Purpose

The purpose of Los Angeles Nude Guys, Inc. shall be:

  1. To promote and encourage an active interest in social (non-sexual) nudism in the greater Los Angeles area;
  2. To provide social activities and events for bringing together gay and bisexual men who enjoy a healthy, nude lifestyle;
  3. To encourage gay nudist/naturist participation in the mainstream nudist/naturist movement;
  4. And to provide information about nudist/naturist experiences, places and activities.

Article 2

Membership Section 1

Membership is open to all gay and bisexual men, 21 years or older, without regard to race, ethnicity, religious preference, national origin, physical appearance or HIV status.

Membership status is contingent upon: (1) having been accepted by the Steering Committee (or its designated subcommittee) as being compatible with the purposes and membership of the Club, (2) being current in payment of annual dues, and (3) agreeing to follow the Policy and Procedures of the Club. The Steering Committee shall establish the procedure for application for membership.

Section 2

Current membership in L.A.N.G. is contingent upon following the L.A.N.G. Policy and Procedures and maintaining current annual dues. The Steering Committee reserves the right to revoke or not renew membership for just cause as outlined in L.A.N.G.'s Policy and Procedures.

Section 3

Members are entitled to (1) receive the regular mailings, (2) participate in all regular Club functions, (3) vote on matters concerning the general membership, (4) attend Business meetings, (5) refer and recommend other prospective members, and (6) receive guest privileges to other gay nudist clubs that have reciprocal agreements.

Article 3 - Steering Committee

Section 1

The Club shall be governed and operated by a Steering Committee. The Steering Committee shall consist of a minimum of seven persons to be elected by the general membership. Any member of the Steering Committee may be removed by a majority vote of the Steering Committee for just cause. Just case shall included, but is not limited to: (a) attending less than two-thirds the Steering Committee meetings during his term or missing three consecutive meetings, (b) failure to perform assigned duties, or (c) misappropriation and/or mishandling of club funds as determined by the steering Committee. Alternate or replacement members may be appointed or dismissed by the Steering Committee, as necessary.

Section 2

Terms of office are for one year, coinciding with the calendar year, beginning January 1, and continuing until the end of the year.

Section 3

Any member in good standing may be nominated for the Steering Committee, either by himself or by another member. All nominations shall be received by the Nominating Committee, which is appointed by the Steering Committee by October 1 of each year. The deadline for submitting applications shall be November 15 of each year. The nominees shall be listed on a ballot which will be sent to each member with the December mailing. Ballots must be returned by the December Steering Committee meeting in order to be counted. The Steering Committee shall provide members with instructions including the maximum number of candidates members may vote for and the number of candidates that will be elected for the following year. The Nominating Committee shall tabulate the votes. The candidates with the highest number of votes shall be elected. The results shall be announced in the January newsletter.

Section 4

During January, the new Steering Committee shall meet and select from among its members, the following officers (with accompanying responsibilities): (1) Coordinator, To conduct Steering Committee meetings, and coordinate the affairs of the Club; (2) Treasurer, to collect membership dues, maintain membership records, and account for the income and expenses of the Club, and (3) other Committee chairs as necessary (e.g. newsletter editor, distribution, event planning, cohost scheduling, reservations, membership, secretary, webmaster, brother club, archivist and membership records.) The new Steering Committee shall appoint additional LANG members in good standing to serve as Committee chairs as necessary. These appointees shall be encouraged to attend Steering Committee meetings and may be consulted by the Steering Committee, but shall not vote.

Section 5

Steering Committee meetings shall require attendance by a quorum, comprising a majority of its members. All decisions require approval by a majority of the Steering Committee members. Proxy votes by mail are permissible when authorized for specific issues. Club members are welcome and encouraged to attend Steering Committee meetings, but shall not vote.

Article 4 - Adoption and Amendment

These Bylaws shall be adopted or amended by a majority of the ballots cast by the General Membership of the Club.

Los Angeles Nude Guys is incorporated as a Non-profit Mutual Benefit Corporation in the State of California.
